TERMS & CONDITIONS
Effective Date: 01.01.2025

These Terms and Conditions ("Agreement") govern your participation in and access to any service, program, or offer provided by Victoria Garlick, including but not limited to the CEO Growth Day (valued at $7,500), the $5,000 strategic advisory offer, and the $50,000 Fractional CEO engagement (collectively, the “Services”).

By engaging with any of the Services, you (“Client”) acknowledge that you have read, understood, and agree to be bound by the following:

1. Scope of Services

Victoria Garlick provides high-level strategic business consulting, including growth planning, marketing and operations advisory, and fractional executive services. While best efforts are made to deliver professional insights and execution support, no specific financial results, business outcomes, or ROI are guaranteed.

2. Disclaimer of Guarantees

Client acknowledges that business performance is subject to numerous external factors outside of the control of Victoria Garlick. Therefore:

No representations or warranties are made regarding increased revenue, profit, client acquisition, or other business outcomes.

Any examples or case studies provided are illustrative only and do not constitute guarantees of results.

3. Limitation of Liability

To the fullest extent permitted by law:

Victoria Garlick shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to the use or inability to use the Services.

This includes, without limitation, loss of profits, revenue, business opportunities, data, or goodwill.

In any event, liability shall be limited to the amount paid by the Client for the specific Service giving rise to the claim.

4. No Professional Advice

Client understands that the Services provided are strategic business consulting services only, and do not constitute legal, financial, medical, or tax advice. The Client is advised to seek independent professional counsel in such matters.

5. Indemnification

Client agrees to indemnify, defend, and hold harmless Victoria Garlick, her affiliates, officers, employees, contractors, and representatives from and against any and all claims, losses, damages, liabilities, demands, suits, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

The Client’s use or misuse of the Services;

Breach of this Agreement;

Violation of applicable law or third-party rights.

6. Assumption of Risk

Client voluntarily assumes full responsibility for the results of their business decisions, actions, and outcomes. The Services are provided “as-is” without any express or implied warranties.

7. Non-Disparagement

Client agrees not to make any public or private statements that may be construed as negative, critical, or disparaging toward Victoria Garlick or her Services, whether during the term of engagement or thereafter.

8. Confidentiality

All proprietary methodologies, intellectual property, frameworks, documents, and strategies provided remain the property of Victoria Garlick and may not be copied, distributed, or disclosed without express written permission.

9. Refunds and Cancellations

All payments are non-refundable unless otherwise specified in writing. The CEO Growth Day is offered without charge as a qualifying experience prior to a potential longer-term engagement. Participation in any paid engagement constitutes acceptance of these terms.

10. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts located in this State.

11. Waiver of Legal Claims

By engaging with the Services, Client expressly waives all rights to bring any form of claim, lawsuit, arbitration, or other legal proceeding against Victoria Garlick or her business entities in relation to the Services provided.

12. Binding Agreement

This Agreement is binding upon the Client and may not be altered without written consent from both parties.

13. Entire Agreement

This document constitutes the entire agreement between the parties and supersedes any prior agreements, discussions, or representations.

BY ENGAGING WITH ANY OF THE SERVICES, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THESE TERMS IN FULL. YOU ACKNOWLEDGE THAT YOU VOLUNTARILY WAIVE YOUR RIGHT TO SUE OR BRING CLAIMS AGAINST VICTORIA GARLICK FOR ANY REASON WHATSOEVER IN RELATION TO THE SERVICES PROVIDED.
